Kmall24 Store Agreement
Article 1 (Purpose)
These terms and conditions are for the purpose of establishing the rights and obligations between the store (hereinafter referred to as “Store”) that has registered as a qualified store on the overseas direct sales website and mobile e-commerce platform (http://www.kmall24.com, http://www.kmall24.com.cn, kmall24.net, hereinafter referred to as “Kmall24”) operated by the Korea International Trade Association (hereinafter referred to as the “Association”) and using the e-commerce-related and other services (hereinafter referred to as “Services”) provided by Kmall24, and promoting mutual development by fulfilling these rights and obligations.
Article 2 (Specification, Effect, and Revision of Terms and Conditions)
1. The contents of these Terms and Conditions shall be posted on the Korean page of “Kmall24” (http://www.kmall24.co.kr, hereinafter referred to as the “Service Information Page”) or the administrator page so that the Association’s name, location, contact information, etc., as well as the tenants or companies interested in tenants can check them.
2. These Terms and Conditions constitute part of the tenant agreement between the Association and the tenants, and these Terms and Conditions may be revised in the future to the extent that they do not violate related laws such as the Electronic Commerce Basic Act, the Electronic Signature Act, the Act on Promotion of Information and Communications Network Utilization and Information Protection, etc., the Act on Consumer Protection in Electronic Commerce, etc., and the Electronic Financial Transactions Act.
3. When the Association revises these Terms and Conditions, it shall specify the date of application and the reason for the revision and post a notice on the initial screen or the link screen along with the current Terms and Conditions from 7 days prior to the date of application to the day before the date of application. The revised Terms and Conditions shall not be applied retroactively to a date prior to the date of application.
Article 3 (Contract Period)
The contract period shall be one year from the contract date, and the "Association" shall evaluate whether to continue the contract based on the "Storeholder's" sales performance, willingness to participate in the business, customer management, delivery responsibility, etc. until one month prior to the expiration of the contract period, and if there is no separate notice of termination from the "Association", it shall be automatically extended for one year.
Article 4 (Definition of Terms)
The definitions of terms used in these Terms and Conditions are as follows:
1) Overseas Direct Sales: Refers to cross-border e-commerce utilizing online, which refers to the act of directly selling to overseas consumers using an e-commerce platform.
2) Kmall24: Refers to the overseas direct sales online shopping mall operated by the Association.
3) Overseas Shopping Mall: Refers to an overseas online shopping platform linked by the Association under the name of "KITA" or "Kmall24", and refers to an online shopping mall that has linked some of Kmall24's products to the online shopping platform (cross-posting). (Example: Amazon.com / Tmall.com, etc.)
4) Seller Account: Refers to an administrator account that allows a merchant to conduct a series of sales activities (product registration, sales management, etc.) on “Kmall24” and “overseas shopping malls.”
5) Promotion: Refers to all sales promotion activities conducted in various forms, such as online/offline advertising, purchase support funds, and repeat purchase inducement, that can increase sales on “Kmall24” and “overseas shopping malls.”
6) Overseas Electronic Payment Agency (“Overseas PG Company”): Refers to an online payment system that supports smooth payment activities by overseas consumers. 7) Supply price (settlement price): Price equivalent to domestic online supply price (settlement amount paid after sale, but bank fees may apply), same as “export declaration price” and “sales declaration price”
8) Sales price: Refers to the sales price of a product that the consumer finally pays after the association adds a certain rate (different by category) according to the product sales channel (“Kmall24” and “overseas shopping mall”) after the store registers the product.
9) Settlement: Refers to the act of settling the sales price to the store according to the period, standard, and method designated by the association, and refers to all procedures for settling using a third party with settlement authority according to the “Kmall24” operating agreement.
10) Collection: Refers to the act of requesting withdrawal of the sales price by each store to the “overseas PG company.” 11) Collection agency: This refers to the act of delegating the authority of collection to the association or a third party designated by the association because it is difficult for a store to individually request collection from an “overseas PG company.”
Article 5 (General compliance matters)
1. The association shall not engage in unfair practices such as collusion with other online shopping malls in relation to the determination of “Kmall24” usage conditions and operating policies.
2. The association may temporarily suspend the provision of services in the event of maintenance, inspection, replacement, and malfunction of computer or other information and communication equipment, or interruption of communication. In this case, the fact of temporary suspension of service and the reason for such suspension shall be notified through the shopping mall home screen and administrator notices, etc.
3. In the event that the association cannot provide services due to a natural disaster or other force majeure, the association may restrict or temporarily suspend the provision of services.
Article 6 (Specification of Sales Entity)
As a mail-order intermediary, the Association is only responsible for operating and managing the system for efficient service, and does not act as an agent for buyers or tenants in relation to transactions of goods or services. The tenants bear direct responsibility for transactions established between buyers and tenants and for information provided and registered by the tenants. However, the Association may intervene in sales activities to increase sales of tenants and improve overseas customer satisfaction, manage and supervise the implementation of essential performance items, and take appropriate measures for this.
Article 7 (Types of Services)
The services provided by the Association are as follows:
1) Sales-related support services: Product registration/sales platform provision, overseas shopping mall entry service, consignment logistics service, settlement service, etc.
2) Sales contract conclusion-related services: Overseas payment PG company linkage service, etc.
3) Product information search service: Search engine provision service, product information search condition provision service, etc.
4) Other e-commerce-related services: Support service when a store requests shipment processing after the store has declared export
Article 8 (Service Target)
1. The service target must be a domestically located manufacturing/distribution company interested in developing overseas sales channels through online e-commerce, and individual sellers who have not registered as a business are not eligible.
2. Products eligible for entry are limited to those suitable for overseas delivery and do not violate Article 19 (Products Unsuitable for Sale).
3. All services provided by “Kmall24” are limited to companies that have entered into a “Kmall24” entry agreement, and are not provided to other companies.
Article 9 (Product Registration and Management)
1. For sales on kmall24 (Global/China Taxi) and overseas shopping malls, 'send an email with the product quotation and introduction materials attached to the relevant product to the MD in charge' and 'request registration/approval of the product through a phone call or meeting with the MD in charge' to register the product.
2. The "Store" is responsible for the product being registered and sold, and any claims made regarding the product being sold are entirely the responsibility of the "Store". The "Association" may demand responsibility from the "Store" for the amicable resolution of claims made by customers.
3. The "Association" may request corrective action for the "Store"'s unfair sales price, exaggeration, infringement of intellectual property rights, etc., or false product information and errors in entry, and if no action is taken, the "Association" may cancel or reserve the registration and sale of the relevant product.
Article 10 (Sales Activities of Tenants)
1. Sales of products and services in shopping malls and mobile shopping malls are possible once the registration of the tenant is completed. To this end, the tenant must directly register and manage information on products and services and transaction conditions through the tenant management system in accordance with the relevant laws and regulations such as the Electronic Commerce Consumer Protection Act (hereinafter referred to as the “E-Commerce Act”) and these Terms and Conditions. However, the Association may arbitrarily determine matters related to preventing damage to buyers, such as the method of payment for products and the method of product delivery.
1) If the registered product has special transaction conditions or additional costs, the tenant must clearly state them so that buyers are aware of them. 2) When registering a product, the merchant must enter information as specified in the ‘Notice on Provision of Product Information in E-commerce, etc.’ (Fair Trade Commission Notice No. 2012-49, hereinafter referred to as the ‘Notice on Provision of Product Information’), including ① information on goods by item, ② information on transaction conditions, etc., and if the Notice on Provision of Product Information is changed after product registration, the relevant information must be revised and supplemented accordingly. If the merchant does not enter information in accordance with the Notice on Provision of Product Information, or does not revise or supplement information in accordance with the changed Notice on Provision of Product Information after product registration, the Association may take necessary measures, such as deducting credit scores, restricting sales of products, and suspending the seller’s account.
2. The merchant must appropriately manage data on items that change frequently, such as inventory quantity, and may not enter false data in the merchant administrator screen. The ‘Association’ may suspend or reject the sale of products for which inventory is not managed. 3. When a store first registers a product, the initially registered product is converted to a sales status after inspection by the Association B2C Export Support Center (hereinafter referred to as the “Operation Manager”), and any damage caused by incorrect entry of product information after initial registration, etc., is entirely the responsibility of the store.
4. The store may not use Kmall24’s name or logo without prior written approval from the Association.
5. The store must provide warranty services for the products and services sold at its own responsibility and expense.
6. The store must enter a landline phone, mobile phone, and email address certified in accordance with the procedures set by the Association in the store information section and always keep the information up to date. If the store does not fulfill the obligations of this clause, the Association may restrict the store’s product registration and sales until the fulfillment is complete.
7. The Association may register/translate information on the store’s products and services and transaction conditions on behalf of the store, if necessary. However, the Association does not guarantee the accuracy of the translated information and assumes no responsibility for this.
Article 11 (Standards for registering products in overseas shopping malls)
1. For the purpose of enhancing overseas exposure of the products of the participating companies, the Association shall, after consultation with the participating companies, register products in “overseas shopping malls” through a single account under the name of “KITA” or “Kmall24”.
